1. General

• These Terms apply to all users including buyers, sellers, merchants and content contributors.
• If you use the Services on behalf of a business entity, “you” refers to that entity.
• These Terms are between you and Cayiba or its subsidiaries.
• By using the Services, you agree to be bound by these Terms and linked policies.
• Cayiba may modify these Terms at any time. Continued use means acceptance.

2. Use of the Services

• Cayiba grants you a limited, non-exclusive, revocable license to use the Services.
• You shall not:
  • Upload content that infringes intellectual property or privacy rights.
  • Copy, reverse engineer, decompile, or interfere with the Services.
  • Violate laws, sanctions, or embargoes.
  • Send spam, malicious software, or automated messages.
  • Scrape or collect data from the Services without consent.
  • Create fake accounts, fake orders, or abuse promotions.
  • Misrepresent listings as Certified when they are not.
• Cayiba may suspend accounts or claw back rewards for violations.

3. Account

• You must be at least 18 years old or have parental consent.
• You must provide accurate and complete information.
• You are responsible for all activity under your Account.
• You must keep your password secure and information updated.
• You shall not:
  • Sell, transfer, or lend your account.
  • Use another user’s account without permission.
• Cayiba may suspend or terminate accounts at its discretion.

3.1 Cayiba Subscriptions

• You may purchase subscriptions for additional features.
• All subscriptions are subject to prevailing rules and fees.

4. Listing Visibility Features

• Available features include:
  • Bumps
  • Spotlight
  • Buyer Magnet
  • Shoutouts
• Fees are non-refundable unless stated otherwise.
• No guarantee of sales, chats, or offers.

5. Cayiba Certified

• Certified products are inspected by independent partners.
• Certification does not constitute a warranty by Cayiba.
• Disputes are handled directly between buyers and Certified Partners.

6. Fees and Payments

• Fees may include subscription, listing, quota, and coin fees.
• Payments may be made via card, bank transfer, or supported methods.
• Late or failed payments may result in suspension.
• All fees are non-refundable unless expressly stated.

6.1 Listing Fees & Quota

• Listing, reply, and view quotas may apply.
• Unused quotas do not roll over.
• Expired quotas are non-refundable.

7. Cayiba Is a Venue

• Cayiba is not directly involved in user-to-user transactions.
• Cayiba does not guarantee item quality, legality, or authenticity.
• Users interact at their own risk.

8. Content

• You retain ownership of your content.
• You grant Cayiba a license to use and display your content.
• Cayiba may remove content that violates these Terms.

9. Selling and Buying

• Listings must be accurate, lawful, and properly categorised.
• Items must not be stolen, counterfeit, or recalled.
• Sellers must ship promptly; buyers must pay promptly.
• Transactions are binding once accepted.

10. Buyer Protection

• Buyer Protection enables secure payment and shipping.
• Maximum transaction limit: S$20,000.
• Funds are held until delivery and dispute conditions are met.

11. Payment Service

• Payments may be made via cards, Mobile Money, BNPL, or PayNow.
• Sellers may withdraw balances to linked accounts.
• Cayiba may debit balances to resolve disputes or errors.

12. Shipping Service

• Sellers specify delivery options and fees.
• Buyers bear shipping fees unless agreed otherwise.
• Cayiba is not responsible for delivery delays or losses.

13. Authentication Services

• Optional authentication for luxury items.
• Authentication does not guarantee authenticity.

14. Transaction Fees

• Fees may include platform, success, and mobile fees.
• Fees are deducted automatically where applicable.
• Fee changes will be notified.

15. Prohibited Items

• Illegal, infringing, or prohibited transactions are not allowed.
• Cayiba may:
  • Remove content
  • Freeze funds
  • Refund buyers
  • Disclose information to authorities

16. Disputed Transactions

• Users must comply with Cayiba Resolution Procedures for disputes involving Buyer Protection or Cayiba Certified transactions.
• You are solely responsible for familiarising yourself with dispute timelines and procedures.
• Your actions or inactions are deemed instructions to Cayiba.
• Resolutions accepted through the Platform are final and binding.
• If disputes cannot be resolved, Cayiba’s decision shall be final, subject to applicable laws.
• Cayiba may, at its discretion:
  • Freeze disputed funds
  • Refund buyers or sellers
  • Require item returns or replacements
  • Hold disputed funds for up to one (1) year if under investigation

17. Cayiba Coins

Relevant Entities

• Cayiba Pte Ltd – Ivory Coast & Philippines
• Cayiba Limited – Hong Kong
• Mudah.my Sdn Bhd – Malaysia

17.1 General Terms

• Coins are prepaid value usable only on Cayiba Platforms.
• Coins may be restricted or rejected if misuse or fraud is suspected.
• Coins are usable only in the country of purchase.
• Validity:
  • Monthly packages – 3 months
  • Bundles under SGD 50 – 3 months
  • Others – 1 year
• Expired coins are non-refundable.
• Coins are non-transferable, non-redeemable, and non-resellable.
• Maximum balance allowed: SGD 1,000 (or local equivalent).

17.2 Purchase of Coins

• Coins may be purchased via card, bank transfer, or other available methods.
• Payment provider fees are borne by the user.
• Personal data is handled as per Cayiba Privacy Policy.

18. Sell to Cayiba

• Available categories:
  • Cars
  • Fashion
  • Luxury
  • Mobile
• Cars service provided by OneShift Pte Ltd.
• Fashion service provided by Refash Pte Ltd.
• Additional partner terms apply.

19. Disputes with Users

• Users are encouraged to resolve disputes amicably.
• Cayiba may assist but is not obligated to resolve disputes.
• You agree to indemnify Cayiba from claims arising from disputes.

20. Privacy

• Personal data is handled according to the Cayiba Privacy Policy.
• Users handling others’ personal data must:
  • Comply with data protection laws
  • Protect data with reasonable security measures
  • Delete or return data upon request
  • Not transfer data overseas without consent

21. Intellectual Property

• All intellectual property belongs to Cayiba.
• No rights are granted beyond what is expressly stated.
• Third-party software is governed by its own licenses.
• Use of Cayiba trademarks requires prior written consent.

22. Reporting Unauthorised Content

• Users may report intellectual property infringement.
• Repeat infringements may lead to suspension or termination.

23. Suspension and Termination

• Accounts may be suspended or terminated at Cayiba’s discretion.
• Termination may occur without prior notice.
• All licenses end upon termination.
• Users are responsible for backing up their content.

24. No Warranty

• Services are provided “as is” and “as available”.
• No warranties of performance, reliability, or fitness.
• Cayiba is not responsible for internet-related issues.

25. Limitation of Liability

• Cayiba is not liable for indirect or consequential damages.
• Maximum liability is limited to fees paid or coin balance.
• Legal rights that cannot be excluded remain unaffected.

26. Indemnity

• You agree to indemnify Cayiba against claims arising from your use of the Services.

27. Compatibility

• Cayiba does not guarantee compatibility with all devices.
• Compatibility issues may result in data loss or device damage.

28. Sub-contracting

• Cayiba may delegate or subcontract Services to third parties.

29. Miscellaneous

• No partnership or agency relationship is created.
• Invalid provisions will be modified without affecting others.
• These Terms constitute the entire agreement.

30. Governing Law and Jurisdiction

• These Terms are governed by the laws of Ivory Coast.
• Courts of Ivory Coast have non-exclusive jurisdiction.
